Financial Reporting Director directs and oversees the preparation and distribution of all periodic financial statements for external use. Ensures that reports, filings and documentation complies with company's regulations, professional standards, and SEC and GAAP reporting guidelines. Being a Financial Reporting Director confirms that entries, transactions, and accounts are accurately and properly consolidated and are included in internal and external financial statements. Advises management of trends and changes in reporting requirements and recommends best approach for any changes in reporting. Additionally, Financial Reporting Director may serve as a liaison with or oversee the work of external auditors. May direct the preparation of materials for board or shareholders. Requires a bachelor's degree of Accounting or Finance. Typically reports to top management. The Financial Reporting Director manages a departmental sub-function within a broader departmental function. Creates functional strategies and specific objectives for the sub-function and develops budgets/policies/procedures to support the functional infrastructure. Deep knowledge of the managed sub-function and solid knowledge of the overall departmental function. To be a Financial Reporting Director typically requires 5+ years of managerial experience.     The Director of Financial Reporting oversees Company’s financial statement presentation and interactions with senior management including the CFO and CEO. This role
    aligns resources and prioritization to drive strategy execution for a department accountable for division or enterprise-wide initiatives impacting multiple functional and technical areas.  The Corporate Director coaches and develops managers and team leaders, and is accountable for results, development of KPIs, and continuous improvement.


    ESSENTIAL DUTIES & RESPONSIBILITIES
     
    • Prepare the Quarterly and Annual Reports on Form 10-Q/K and manage the internal and external review for these documents
    • Plan and execute the disclosure committee meetings
    • Manage the consolidation process and prepare intercompany eliminations on a quarterly basis
    • Prepare quarterly earnings releases
    • Review XBRL exhibits to comply with SEC guidance
    • Prepare quarterly Board of Directors meeting materials and manage the internal review for the board book
    • Manage the certification process for 302 and 906 certs (i.e. sub cert letters, internal control inquires)
    • Research technical accounting issues, assist in providing US GAAP interpretation and prepare technical memorandums that document issues in a clear, logical and comprehensive manner
    • Assist in the coordination of annual audit and quarterly review activities of external auditors and provide requested items timely
    • Prepare the FAS 123R calculations in compliance with technical accounting guidance
    • Implement and maintain reporting procedures to comply with internal control requirements
    • Support month end and year end closing
    • Create and maintain the Financial Reporting calendar to inform parties of necessary deadline adherence for the BOD package, press releases and 10-Q/Ks
    • Complete government surveys
    • Support M&A activity including due diligence and preparation of purchase accounting
    • Participate in other projects as required
    • Responsibility of managing communication between Company Senior Leaders and investors
    • Prepare and update investor materials
    • Attend competitor earnings calls and prepare comparative analysis


    MINIMUM QUALIFICATIONS
     
    • Public company experience
    • Bachelor’s degree in Accounting and CPA required
    • 12 years of experience, with a mix of public accounting (preferably with a big four accounting firm working with public companies) and public/private company industry experience with SEC reporting
    • Strong accounting, analysis and research skills
    • Comfortable with Excel pivot tables and advanced Excel functions
    • Excellent written and oral communication and interpersonal skills with experience interacting with various levels of management and peers
    • Excellent organizational and problem-solving skills with the ability to independently prioritize multiple tasks and bring projects to completion
