Ethics & Compliance Training Specialist conducts needs analyses and designs and implements ethics, business conduct and compliance training and development programs. Interfaces with multiple functional groups outside the ethics and compliance office to ensure curriculum content and methods meet legal, regulatory and corporate objectives. Being an Ethics & Compliance Training Specialist participates in the development and implementation of classroom, web-based and other media training programs for all employees designed to promote knowledge of the corporate code of conduct policies, legal and regulatory requirements of the organization's business. Coordinates with and ensures a uniform level of ethics and compliance training among operating units of the corporation. Additionally, Ethics & Compliance Training Specialist coordinates both internal and external resources required by the program. Provides technical expertise, evaluates content and makes recommendation on incorporating all facets of corporate training programs into the business operation. Requires a bachelor's degree in area of specialty. Typically reports to a manager or head of a unit/department. To be an Ethics & Compliance Training Specialist typically requires 4 to 7 years of related experience. Contributes to moderately complex aspects of a project.     RESPONSIBILITIES
    LEGAL & COMPLIANCE COMMUNICATIONS

    • Serve as the first point of contact for franchisees seeking support in the renewal, transfer or termination of their franchise agreement
    • Monitor legal correspondences and facilitate interactions with legal counsel, preparing legal notices and compliance documentation as necessary.
    • Manage compliance outreach efforts, including Area Development Agreement compliance and addressing non-compliant programs or websites.
    • Ability to maintain firm yet respectful communication - “hold the line” - ensuring compliance while preserving relationships.
    • Utilize negotiation and conflict resolution skills to navigate disputes, aiming for resolutions that align with company policies and brand standards.

    UNDERSTANDING & MANAGING CONTRACTS

    • Strong comprehension of how to read, interpret, and adjust contracts, ensuring a thorough understanding of their nuances.
    • Adept at constructing contracts swiftly and accurately, paying close attention to detail to avoid potential pitfalls.
    • Ability to navigate the delicate aspects of contract clauses with ease, understanding their implications and how to leverage them in negotiations.
    • Efficiently recall and interpret information relevant to contractual obligations and rights, applying this knowledge in practical scenarios.

    PREPARATION FOR CONTRACT DISPUTES & LITIGATION

    • Prepare comprehensive legal documentation and evidence for potential litigation involving contract disputes, ensuring all necessary information and correspondence are meticulously compiled.
    • Coordinate closely with legal counsel to develop strategies and gather evidence for defending or pursuing claims, including identifying key contractual clauses and potential breaches.
    • Understand the procedures for initiating legal action, including drafting legal briefs, notices, and other litigation documents, ensuring accuracy and compliance with legal standards.
    • Stay informed on current laws and regulations affecting franchise contracts to anticipate and mitigate legal risks effectively.

    TRACKING & FOLLOW-UP

    • Diligently track and follow up on Agreements and Addendums to ensure compliance and up-to-date documentation.
    • Monitor insurance and other essential business documentation, ensuring all franchisees meet required standards.
    • Keep a keen eye on upcoming and past due renewals, actively engaging with franchisees to manage renewal processes.
    • Update and maintain accurate location information changes and contact profile information, ensuring seamless communication and operations.

    ADDITIONAL TASKS

    • Delinquency Follow-up and Collection: Actively pursue delinquent accounts to recover overdue payments, employing various strategies to engage and motivate owners to settle their debts.
    • Brand Standards Manual: Update the Brand Standards Manual on a quarterly basis to ensure that it stays current.
    • Follow Up with Locations Out of Compliance with Our Brand Standards: Regularly assess franchise locations for adherence to our brand standards, initiating corrective action and support for locations found to be out of compliance.
