Corporate Secretary executes and maintains all required official corporate filings, documents, reports and records according to applicable laws and regulations. Responsible for shareholder relations, communicating with Board members and coordinating shareholder lists and registrations. Being a Corporate Secretary researches and responds to shareholder requests for information. Manages the coordination of Board and shareholder meetings and the preparation of all necessary agendas and documents required for the meetings. Additionally, Corporate Secretary the incumbent in this role is usually an officer of the corporation. May require a Juris Doctor degree. Typically reports to top management. The Corporate Secretary manages a departmental function within a broader corporate function. Develops major goals to support broad functional objectives. Approves policies developed within various sub-functions and departments. Comprehensive knowledge of the overall departmental function.     Responsibilities

    This new position for an Executive Assistant III will provide executive level support to the President/CEO as well as back-up support to other members of executive management, Board of Directors, and the Corporate Secretary, when necessary. The primary focus of this role is taking and retaining meeting minutes.

    This role will occasionally act as a liaison between members of Senior Management as it relates to corresponding with internal customers and outside vendors. Success will require reliability, the ability to organize and prioritize large volumes of information with accurate preparation of reports, and proficient oral, written, and interpersonal communication skills. The individual in this role must display a high level of independence and decision-making abilities to identify and elevate issues. Some special projects will require the ability to act as a project manager.

    Qualifications

    Requirements:

      High school diploma.
    • 5 years of experience in an Executive Assistant or legal support role; 3 years supporting a C-level executive or EVP-level leader.
    • 2 years of experience taking official meeting minutes, keeping an accurate record of what transpired, and the decisions that were made.
    • Proficient in MS Office.
    • Excellent verbal and written communication skills.
    • The ability to display discretion when handling information of a sensitive and confidential nature.
    • Effective and accurate record-keeping abilities.

    Preferences:

    • Previous experience in banking or lending environment.
    • Paralegal certificate and/or experience in legal support.
    • Bachelor's Degree.
    • Understanding of banking terminology.
