Job Title: Contract Review Specialist Reports To: Director of Quality

Job Summary:
Contract Review Specialist will be responsible for meticulously reviewing and analyzing customer inquiry documents, contracts, and agreements to ensure their compliance with legal standards, company policies, and industry regulations. Contract Review Specialist will work closely with sales team and various departments to identify risks, suggest modifications, and facilitate the contract approval process. This role requires strong attention to detail, legal acumen, and effective communication skills.
Key Responsibilities:
1. Contract Analysis: Carefully review and assess contracts, agreements, and legal documents to identify any potential risks, discrepancies, or non-compliance issues.
2. Legal Compliance: Ensure that all contracts adhere to relevant laws and regulations, industry standards, and company policies.
3. Risk Assessment: Analyze contract terms and conditions to identify and evaluate potential risks and liabilities associated with each agreement.
4. Contract Modifications: Work collaboratively with internal stakeholders and external parties to negotiate and propose changes to contracts when necessary, aiming to protect the company's interests.
5. Documentation:Maintain accurate and organized records of contract reviews, modifications, and approvals.
6. Legal Research: Stay up to date with changes in laws and regulations that may impact contract terms and update standard templates accordingly.
7. Cross-Functional Collaboration: Collaborate with various departments, including legal, procurement, sales, and finance, to ensure contract alignment with business objectives.
8. Contract Approval: Assist in obtaining necessary approvals for contracts and agreements, including obtaining signatures from relevant parties.
9. Reporting: Prepare reports and summaries of contract reviews, highlighting key terms, risks, and recommendations.
Qualifications:
· Bachelor's degree in a relevant field, such as business, or a related discipline. A legal background or paralegal certification is a plus.
· Proven experience in contract review, analysis, or a related legal field.
· Strong understanding of legal terminology, contract law, and regulatory compliance.
· Excellent attention to detail and analytical skills.
· Strong communication and negotiation skills.
· Ability to work collaboratively in a team environment.
· Proficiency in using contract management software and Microsoft Office Suite.
· Familiarity with industry-specific regulations and standards is an advantage.
· Maintain required industry and customer accreditations including ISO 9001, MIL-1-45208, and MIL-Q-9858. Maintain and implement various federal and military specifications and requirements (MIL-STD). Maintain measurement and test equipment to required calibration standards such as ISO 10012 and ISO17025. Lead root cause analysis process and documentation to manage customer concerns.
· Knowledge of destructive and non-destructive testing (NDT) of materials used in forgings and fasteners.
Additional Information:
This position may require occasional overtime to meet project deadlines or handle urgent contract matters. The Contract Review Specialist will report to the Director of Quality within the Quality Assurance department.
